Overview
Provides a general overview of the field, the
variety of perspectives that are used in this area, and published guidelines on corporate
governance.
The Board
Provides readings on a variety of factors
concerning the board including, structure, processes, and the impact of these practices on
shareholder wealth and performance.
The CEO
Covers issues of CEO selection, turnover,
succession, and compensation, and the ability of the Board and/or shareholders to monitor
the CEO.
Shareholders
Concerns topics such as shareholder activism and
institutional investors, as well as the effects of ownership structure on the
organization.
Corporate Control
Covers the market for corporate control and the
defenses used by corporations to prevent takeovers.
International
Provides readings with comparative perspective and
readings specific to certain countries.
New Directions
Covers critiques of current practices in corporate governance, and new or alternative
approaches to corporate governance.
Publications
Includes publications and working papers by the faculty
and doctoral students of the Wharton School and other schools of the University of
Pennsylvania.

provide insight on a variety of the topics in this outline, but in general, each reading
